By contacting David Black Consulting, requesting work, accepting a proposal, approving a quote, booking consultancy support or making payment, you agree to these terms.

2. Business clients only

David Black Consulting provides services to business clients only.

The services are intended for businesses, business owners, companies, partnerships, sole traders, self-employed professionals and other commercial clients.

The services are not intended for consumers purchasing for personal, household or non-business use.

3. Services provided

David Black Consulting provides marketing consultancy and practical business support for UK businesses.

4. Scope of work

All work is provided based on the agreed scope, brief, proposal, quote, written instruction or project agreement.

Only the work clearly agreed in writing is included.

Any additional work outside the agreed scope may require a separate quote or written approval before it is carried out.

David Black Consulting is not responsible for tasks, deliverables, platforms, accounts, campaigns, content, technical work or implementation that has not been specifically agreed.

5. Client responsibilities

Clients are responsible for providing accurate information, access, materials, feedback and approvals needed to complete the agreed work.

This may include access to websites, advertising accounts, analytics tools, ecommerce platforms, documents, brand materials or other relevant systems.

Clients are responsible for checking that any information, claims, prices, offers, legal wording, product details, service details or business information they provide is accurate.

Delays in providing information, access, feedback or approvals may affect delivery times.

6. Fees and payment

Fees will be confirmed before work begins.

Payment may be required before work starts, in stages, or on completion, depending on the agreed arrangement.

Invoices should be paid by the due date shown on the invoice.

Work may be paused, delayed or withheld where payment has not been made by the agreed due date.

For business-to-business work, late payments may be subject to statutory interest and reasonable recovery costs where applicable.

7. Cancellations and rescheduling

If you need to cancel or reschedule agreed work, please provide as much notice as possible.

Where time has already been reserved, work has started, or costs have been incurred, a cancellation fee may apply.

If a meeting, consultancy session or agreed delivery slot is missed or cancelled at short notice, the fee may still be payable.

8. Refunds

Consultancy, audit, strategy and implementation work is usually scheduled and delivered based on the agreed scope.

Refunds are not normally available once work has started, time has been reserved, access has been reviewed, research has been carried out, or deliverables have been provided.

Where a project has been paid in advance and cancelled before any work has started, any refund will be reviewed based on the work booked, preparation completed, time reserved and any costs already incurred.

If a payment has been made in error, please contact David Black Consulting so it can be reviewed.

9. Results and performance

David Black Consulting provides advice, reviews, recommendations and support based on experience and the information available at the time.

No specific business, marketing, sales, revenue, advertising, enquiry, lead, conversion, ranking or growth result is guaranteed.

The performance of marketing activity can be affected by many factors outside the control of David Black Consulting, including offer quality, market conditions, pricing, competition, website performance, sales process, customer demand, client implementation, tracking accuracy, platform changes and third-party decisions.

Clients remain responsible for their own commercial decisions and for deciding whether to act on advice, recommendations or deliverables provided.

10. Third-party platforms and services

Some work may involve third-party platforms, tools, websites, advertising platforms, analytics tools, ecommerce systems, payment systems, hosting providers or software providers.

David Black Consulting is not responsible for outages, errors, data loss, tracking issues, policy changes, account restrictions, account suspensions, rejected ads, platform decisions, software changes, pricing changes or service changes made by third-party providers.

Clients are responsible for maintaining access to their own third-party accounts and complying with the terms, policies and requirements of any platforms they use.

11. Advertising, tracking and website access

Where work involves advertising accounts, websites, tracking tools, analytics platforms or ecommerce systems, the client remains responsible for ownership and control of their own accounts and assets.

David Black Consulting may provide advice, review performance, recommend changes or assist with implementation where agreed.

David Black Consulting is not responsible for previous account issues, historical data quality, tracking gaps, platform restrictions, unauthorised access, client-side changes, technical faults, or decisions made by advertising platforms, search engines, analytics providers or ecommerce platforms.

12. Intellectual property

Unless agreed otherwise in writing, David Black Consulting retains ownership of its own methods, templates, frameworks, processes, documents, working materials, strategy structures and internal know-how.

Clients may use final agreed deliverables for their own business purposes once payment has been made in full.

Clients may not resell, reproduce, licence, share, publish or distribute David Black Consulting’s templates, frameworks, processes, documents or working materials unless agreed in writing.

13. Client materials and approvals

Clients confirm that they have the right to provide any logos, images, copy, brand materials, data, website access, platform access, product information or other materials supplied to David Black Consulting.

Clients are responsible for reviewing and approving work before it is published, used, sent, uploaded or made live.

Once work has been approved by the client, David Black Consulting is not responsible for errors, omissions or issues that could reasonably have been identified during the review and approval process.

14. Confidentiality

Any confidential business information shared by a client will be treated with care and will not be shared unnecessarily.

Confidential information may be shared where required by law, regulation, professional advisers, trusted service providers, or where needed to deliver the agreed work.

Confidentiality does not apply to information that is already public, already known, independently developed, or required to be disclosed by law.

15. Limitation of liability

David Black Consulting will take reasonable care when providing services.

To the fullest extent permitted by law, David Black Consulting will not be liable for indirect losses, loss of profit, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, reputational loss, platform restrictions, advertising account issues, website issues, third-party platform decisions, or losses caused by client delay, incomplete information, incorrect access, missed approvals, implementation choices, or decisions made by the client based on advice provided.

David Black Consulting’s total liability for any claim connected to the services will be limited to the amount paid by the client for the specific service giving rise to the claim, unless the law does not allow that limitation.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.

16. No professional advice outside marketing consultancy

Information provided by David Black Consulting is for marketing, advertising, website, ecommerce, tracking, conversion and business communication purposes only.

It should not be treated as legal, financial, tax, accounting, regulatory, medical or investment advice.

Clients should seek qualified professional advice where required.
